Skydance Corp. shares tumbled as much as 25% in Wednesday trading after the newly merged entertainment company issued 471 million stock warrants to Paramount investors, sharply diluting the value of existing shares.
The stock, which trades on the New York Stock Exchange under the symbol "SKYD," began trading Oct. 6 following the completion of the Paramount-Warner Bros. Discovery merger. By 11 a.m. ET Wednesday, the shares had surrendered a quarter of their value as investors absorbed the scale of the warrant issuance.
The warrants give Paramount investors the right to purchase additional Skydance shares at a predetermined price, a mechanism built into the merger agreement to compensate legacy Paramount holders. With 471 million new warrants entering the market, the total pool of potential Skydance shares expands significantly, reducing the proportional ownership stake of every current shareholder.
Warrant issuances of this magnitude are common in complex mergers where two companies of differing valuations must be combined. The instruments function as a sweetener for shareholders of the acquired firm, allowing them to participate in future upside if the combined company's stock rises above a set threshold.
The immediate market reaction reflects the arithmetic of dilution: when hundreds of millions of new shares can be created from warrants, the per-share value of existing stock declines unless the company's earnings grow fast enough to offset the expansion.
Skydance was formed by merging Paramount Global with Warner Bros. Discovery assets, creating a combined entertainment entity with stakes in film production, television networks, and streaming platforms. The deal closed after months of regulatory review and shareholder votes.
The company's debut on the NYSE on Oct. 6 marked the culmination of a merger process that reshaped two of Hollywood's legacy studios. Wednesday's trading volume spiked as the warrant details became clear to investors who had not fully priced in the dilution when the stock first listed.
Skydance has not issued a public statement addressing the stock decline. The company's next earnings report will give investors their first look at how the merged entity's finances perform under a single corporate structure.
